Letter from Donovan Boyd, CEO, CAM Industrial Solutions

Dear Valued Customers and Vendors,

November 26, 2023, marks the six-month anniversary of CAM Industrial Solutions. As you may recall, CAM Industrial Solutions (CAM) was formed in May 2023 via acquisition of Worley’s maintenance, power operations and turnaround businesses in North America for a cash consideration of USD125 million, supporting refineries, petrochemical plants, and other industrial facilities.

With a footprint covering 50+ locations supported by over 6,000 people as of the end of October 2023 in Canada and the United States, CAM’s sole focus is to deliver the safest, most efficient, and cost-effective maintenance, operations and turnaround services in the industrial space. Key highlights in the last six months include:

Safety: Our Total Recordable Incident Rate ending fiscal year 2023 in June was 0.33, which has reduced further to 0.28 through October of fiscal year 2024. Three of our locations in the United States celebrated five consecutive years without a Lost Time Injury, and multiple sites celebrated Recordable Injury free milestones ranging from one to six years. At the Canadian Safety Achievement Awards, multiple CAM site teams were recognized for Recordable Injury free performance for one or more consecutive years in both the continuous maintenance and turnaround categories, with one location achieving 9 years.

Standing Up: While we are still under a Transaction Services Agreement with Worley, who currently continues to provide accounting and payroll services to CAM, we are well underway to having our own Enterprise Resource Planning and Human Resources Information Systems platforms go live in early 2024. Additionally, we retained the top three operations leaders from legacy Worley during the formation of CAM, namely Mick Kaefer, now President of CAM, Mark Ramsden, Vice President of Union and Power Operations & Maintenance, and Chris Kibermanis, Vice President of Non-Union Maintenance & Turnarounds. We have also built out our entire executive team, including Josh Greenberg, Vice President of Business Development, Steven Hartman, Supply Chain Director, and an extremely experienced group of senior executives with decades of industry knowledge and experience. See our “About Us” page for our Vision and Values and key executives at www.camindustrialsolutions.com.

Strength in Size & Financials: Exclusively focused on maintenance, power operations and turnaround services, CAM has the leading market share in Canada with ~25%, and is currently estimated to be among the top five to seven such companies in the American market, with the intention to move quickly up the list. Our pro forma revenue for fiscal year 2024 is about USD800 million, with capitalization at closing of approximately USD 80 million of funded owner’s equity, USD 60 million of funded asset-based lending out of a total of USD125 million total facility, in partnership with PNC Bank and audited financials by KPMG.

The future is bright for CAM Industrial Solutions, and I would like to take this opportunity to thank you for being a partner with us. Standing up a new enterprise takes time and can be at times challenging, but things are improving every day, and the challenges are not permanent. Our Dun & Bradstreet profile, for example, is currently being built and will soon reflect the true size and strength of our company.

I know together, we can make this industry safer, more attractive as a career, and achieve mutual success for all our stakeholders, including customers, vendors, employees, and shareholders.
